Please take notice that on September 24, 2013, I tendered my resignation from employment at S.

J. Bashen, Inc., dba Bashen Corporation (the "Company") and my final day in the Company's

office was September 30, 2013 at approximately 3 PM CDT. While I may have been identified

on the Company's website and in email signatures as Chief Financial Officer, at no time was I

ever duly elected by either the board of directors or the shareholder ofthe Company to any

officer position.

At no time during my tenure with the Company (April 29, 2013 through September 30, 2013) did

I ever hold signature authority on any bank account, business account, credit card, payment

process, statutory filing or any other matter binding or on behalf ofthe Company. Any

information submitted by me to any party was from the records ofthe Company or supplied to

me by the CEO ofthe Company. I make no suggestion that any such information was not correct

but I disavow any responsibility for the accuracy or truthfulness of any information that was

pasTëd-öñ by ñië'after having been supplied to më bÿ the¯Cómpañy or its CEO.

This communication is intended to define the parameters ofmy involvement with the Company

and is in no way intended to disparage the Company.
